1. Parties
This Agreement is between RS Entertainment Ltd ("RS Entertainment", "we") of 191 Killinarden Estate, Tallaght, Dublin D24 X9X0, Ireland, company registration number 634356, and the individual authorised to use the Software ("you").
2. What the Software is
The Software is a private, internal integration that connects RS Entertainment's own QuickBooks Online company file to internal business tooling. It is used to:
- read accounting records, financial reports and VAT information;
- read and, where enabled, create customer records and sales invoices;
- retrieve transaction documents such as invoice PDFs.
The Software is not distributed, sold, offered or made available to the public. It is not listed on the Intuit App Store or any other marketplace. It has no public user interface and no third-party users.
3. Licence grant
RS Entertainment grants you a non-exclusive, non-transferable, revocable licence to use the Software solely for the internal business purposes of RS Entertainment, and only for so long as you are authorised by RS Entertainment to do so.
4. Restrictions
You may not:
- distribute, sublicense, sell, rent or otherwise make the Software available to any third party;
- use the Software to access any QuickBooks company file other than those belonging to RS Entertainment;
- use the Software to process the data of any third party except as necessary to administer RS Entertainment's own customer and supplier records;
- remove or alter any proprietary notices in the Software.
5. Authorisation and credentials
The Software connects to QuickBooks Online using OAuth 2.0. You are responsible for:
- keeping the client credentials and tokens confidential;
- not copying credentials onto shared or unsecured systems;
- disconnecting the Software from QuickBooks if a device holding its credentials is lost, sold or decommissioned.
You may revoke the Software's access at any time from within QuickBooks Online, under Settings → Apps → Connected apps, or by deleting the local credentials file.
6. Data
The Software accesses only the QuickBooks company data for which access has been explicitly authorised. It does not transmit that data to any third party other than as required to communicate with Intuit's own APIs and the internal tooling for which it was built.
Personal data accessed through the Software is handled in accordance with the RS Entertainment Privacy Policy at https://www.rsentertainment.ie/privacy.
7. Relationship with Intuit
QuickBooks and QuickBooks Online are trademarks of Intuit Inc. RS Entertainment is not affiliated with, endorsed by, or sponsored by Intuit. Your use of QuickBooks Online remains governed by your own agreement with Intuit. Intuit is not a party to this Agreement and has no liability under it.
8. No warranty
The Software is provided "as is", without warranty of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, accuracy or non-infringement.
The Software reads and may write accounting records. You remain solely responsible for the accuracy of your books, your VAT returns and your statutory filings. Output from the Software must be reviewed by a competent person before being relied upon or submitted to any tax authority.
9. Limitation of liability
To the maximum extent permitted by law, RS Entertainment shall not be liable for any indirect, incidental, special or consequential loss, nor for loss of profit, revenue, data or goodwill, arising from use of the Software.
Nothing in this Agreement excludes or limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot lawfully be excluded.
10. Term and termination
This Agreement takes effect when you first use the Software and continues until terminated. RS Entertainment may terminate it at any time. On termination you must stop using the Software and delete any credentials it holds.
11. Governing law
This Agreement is governed by the laws of Ireland, and the courts of Ireland shall have exclusive jurisdiction over any dispute arising from it.
